End User Agreement and Privacy Policy

The End User Agreement and Privacy Policy ("Agreement") govern your relationship with Hello Everyday services (the "Service") and Hello Sensor (the “Device”) operated by Hello Everyday, Inc. ("us", "we", or "our"). When referring to both the Service and the Device, we will hereinafter call it the “System”.

Please read carefully to fully understand the Agreement before using the System.

Your access to and use of the System is conditioned on your acceptance of and compliance with the Agreement. The Agreement apply to all users and others who access or use the System.

By accessing or using the Service and/or Device you agree to be bound by this Agreement. If you disagree with any part then you may not access the Service and/or use the Device.

General Provisions

The System is intended to automatically keep the Device user and the Service users connected through information of device activity everyday. The Device is not intended for real-time monitoring or to detect falls. Device user activity is not actively monitored by the company and we are not responsible for the safety of the device user

The Device senses presence. It cannot distinguish between multiple individuals. It can be programmed to ignore pets that may come into its field of view such as cats and dogs. However it may be activated by other movement in its field of view such as oscillating fans and swaying curtains. You are encouraged to review the activity data periodically and contact the company if activity recorded appears inaccurate.

Hello Everyday, Inc. may reach out periodically for feedback on the System.

Hello Everyday, Inc. will be collecting activity data from the System and may reach out to clarify trends. Hello Everyday reserves the right to use the anonymized user data for publications, marketing, etc. Hello Everyday may apply machine learning techniques to analyze the data and highlight trends.

Ownership and right to operate the System is vested in Hello Everyday Inc. We reserve the right to recall the System at any time and/or terminate your access.

The System is restricted to use within the United States.

Usage Specifications

You may use the System in accordance with the Agreement and applicable laws. You shall not commit the following acts:

  • Delete any copyright information on the System and other copies, or modify, delete or circumvent the technical measures set by the System for the protection of intellectual property rights;
  • Perform reverse engineering of the System, such as disassembly, decompilation or other attempts to obtain the source code of the System;
  • Use the System to harm network security in any way. This includes, but is not limited to: accessing data or servers without permission, tampering with or adding information on someone else’s network or system, trying to find or exploit weaknesses in the System, interfering with how the System works, spreading viruses or harmful programs, or faking data to disrupt network services;
  • Use the System to publish, transmit or disseminate advertising information or spam in bulk;
  • Use the System to make up the fact or conceal the truth to mislead or deceive others;
  • Use the System to engage in other acts that violate local laws and regulations, policies, public order social morality and so on.

Subscriptions

Some parts of the Service are billed on a subscription basis ("Subscription") or One-Time Upfront Fee (“Upfront’). For Subscription, you will be billed in advance on a recurring and periodic basis ("Billing Cycle"). Billing cycles are set on a monthly basis.

At the end of each Billing Cycle, for recurring subscriptions, payment will automatically renew under the exact same conditions unless you cancel it. You may cancel your Subscription renewal by contacting Hello Everyday, Inc. customer support team and ensuring return of the Device. Subscription will be cancelled once Device is received by Hello Everyday, Inc.

A valid payment method, including credit card, is required to process the payment for your Subscription. You shall provide Hello Everyday, Inc. with accurate and complete billing information including full name, address, state, zip code, telephone number, and a valid payment method information. By submitting such payment information, you automatically authorize Hello Everyday, Inc. to charge all Subscription fees incurred through your account to any such payment instruments.

Should automatic billing fail to occur for any reason, Hello Everyday, Inc. will issue an electronic invoice indicating that you must proceed manually, within a certain deadline date, with the full payment corresponding to the billing period as indicated on the invoice.

Fee Changes

Hello Everyday, Inc. in its sole discretion and at any time, may modify the Subscription fees for the Subscriptions. Any Subscription fee change will become effective at the end of the then-current Billing Cycle.

Hello Everyday will provide you with a reasonable prior notice of any change in Subscription fees to give you an opportunity to terminate your Subscription before such change becomes effective.

Your continued use of the System after the Subscription fee change comes into effect constitutes your agreement to pay the modified Subscription fee amount.

Accounts

When you create an account with us, you must provide us information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Agreement, which may result in immediate termination of your account on our System.

You may not use the name of another person or entity or that is not lawfully available for use, a name or trade mark that is subject to any rights of another person or entity other than you without appropriate authorization, or a name that is otherwise offensive, vulgar or obscene.

Intellectual Property

The System features and functionality are and will remain the exclusive property of Hello Everyday Inc. Without the prior written consent of Hello Everyday Inc., you shall not independently use or transfer any of the above intellectual property rights for any commercial or non-commercial purposes, or permit any third party to do so. Hello Everyday reserves the right to pursue legal liability for such acts.

Our Service may contain links to third-party web sites or services that are not owned or controlled by Hello Everyday, Inc.

Hello Everyday, Inc. has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third party web sites or services. You further acknowledge and agree that Hello Everyday, Inc. shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such web sites or services.

We strongly advise you to read the terms and conditions and privacy policies of any third-party web sites or services that you visit.

Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Agreement.

Upon termination, your right to use the System will immediately cease. If you wish to terminate your account, you must email info@hello-everyday.com. We will process your request within a reasonable time from when the request was made.  For Subscriptions, account will be cancelled once Device is received by Hello Everyday, Inc.

Limitation Of Liability

In no event shall Hello Everyday, Inc., nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the System; (ii) any conduct or content of any third party on the System; (iii) any content obtained from the System; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

Disclaimer

Your use of the System is at your sole risk. The System is provided on an "AS IS" and "AS AVAILABLE" basis. The System is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement or course of performance.

Hello Everyday, Inc. its subsidiaries, affiliates, and its licensors do not warrant that a) the System will function uninterrupted, secure or available at any particular time or location; b) any errors or defects will be corrected; c) the System is free of viruses or other harmful components; or d) the results of using the System will meet your requirements.

Governing Law

The Agreement shall be governed and construed in accordance with the laws of United States, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of the Agreement will not be considered a waiver of those rights. If any provision of the Agreement is held to be invalid or unenforceable by a court, the remaining provisions of the Agreement will remain in effect. The Agreement constitute the entire agreement between us regarding our System, and supersede and replace any prior agreements we might have between us regarding the System.

Any dispute arising from the System shall first be settled through consultations by both parties. If no settlement can be reached through such consultations, either Party may submit the dispute to the court of competent jurisdiction ovr the place where this Agreement is signed.

This Agreement is signed in Lake Oswego, Oregon, USA.

In no event will our or our licensors’ or our service providers’ aggregate liability with respect to any claim arising from or relating to the Agreement exceed fifty dollars ($50).

Privacy policy

We use your data to provide and improve the System. By using the System, you agree to the collection and use of information in accordance with this policy.

What Information We Collect and Why

At Hello Everyday, we only collect the information we need to provide you with our services and improve your experience. We may collect the following types of information (which may or may not be personal information):

  • Account information: Account nickname, phone number, email address, and address. We may use your Personal Data to contact you with newsletters, marketing or promotional materials and other information that may be of interest to you. You may opt out of receiving any, or all, of these communications from us by following the instructions provided in any email we send.
  • Device Information: Details about your Hello Sensor, such as its name, model, firmware version, serial number, hardware version, location information and some performance data like temperature, network settings and time zone. Location information includes latitude and longitude information and cell tower id.

  • Feedback: If you share feedback with us (like a bug report or product review), we’ll collect the info you provide, including contact details and error logs to help fix issues.

  • Usage Data: Data collected automatically either generated by the use of the System or from the System infrastructure itself (for example, the IP address and browser type used for opening of the quick access link and other diagnostic data).

How We Use Your Information 

We use your personal information to make sure our products and services work well for you. This includes:

  • Providing and improving our services, including customer support and device features.

  • Communicating with you about updates, support requests, or general info like events and notices.

  • Analyzing how our products are used to make them better.

  • Keeping your information for business and legal purposes.

  • Managing your Hello Everyday account and making sure only authorized devices can access it.

  • Using your device info to send alerts or notifications, track usage, and keep your device up to date.

  • Reviewing your feedback so we can fix problems quickly and keep you informed.

With Whom We Share Your Information

Hello Everyday, Inc. will not sell any personal information to third parties.

Retention of Data

Hello Everyday, Inc. will retain your Personal Data only for as long as is necessary for the purposes set out in this Privacy Policy. We will retain and use your Personal Data to the extent necessary to comply with our legal obligations (for example, if we are required to retain your data to comply with applicable laws), resolve disputes and enforce our legal agreements and policies.

Hello Everyday, Inc. will also retain Usage Data for internal analysis purposes. Usage Data is generally retained for a shorter period of time, except when this data is used to strengthen the security or to improve the functionality of our System, or we are legally obligated to retain this data for longer periods.

Disclosure of Data

Disclosure for Law Enforcement

Under certain circumstances, Hello Everyday, Inc may be required to disclose your Personal Data if required to do so by law or in response to valid requests by public authorities (e.g. a court or a government agency).

Legal Requirements

Hello Everyday, Inc may disclose your Personal Data in the good faith belief that such action is necessary to:

  • To comply with a legal obligation
  • To protect and defend the rights or property of Hello Everyday, Inc.
  • To prevent or investigate possible wrongdoing in connection with the System
  • To protect the personal safety of users of the System or the public
  • To protect against legal liability

Your Rights Over Your Information

You have the right to see, update, correct, or delete the personal information we have about you. If you want to make any of these changes, just email us at info@hello-everyday.com. We may ask you to verify your identity first to keep your information safe.

We’ll respond to your request as quickly as the law requires. If you ask for a copy of your data, it’s free the first time—but we may charge a small fee if you ask for it repeatedly.

You can also ask us to delete your information if there’s no good reason for us to keep it. In some cases, it might take time to fully remove it from backup systems, but we’ll make sure it’s safely stored and not used in the meantime.

In rare cases, we may not be able to give you access—like if it affects someone else’s privacy or involves legal restrictions. If that happens, we’ll explain why and let you know how to follow up.

Withdrawal of Consent

You may withdraw your consent for the collection, use and/or disclosure of your personal information in our possession or control by submitting a request. This may be done by sending email to info@hello-everyday.com. We will process your request within a reasonable time from when the request was made, and thereafter not collect, use and/or disclose your personal information as per your request. If you withdraw your consent, it won’t affect anything we’ve already done based on your consent before you withdrew it.

Withdrawal of consent could result in certain consequences. Depending on the extent of your withdrawal of consent for us to process your personal information, it may mean you will not be able to enjoy Hello Everyday’s products and services.

Security of Data

The security of your data is important to us but remember that no method of transmission over the Internet or method of electronic storage is 100% secure. While we strive to use commercially acceptable means to protect your Personal Data, we cannot guarantee its absolute security. To protect your personal information from unauthorized access or misuse, we use a combination of physical, electronic, and management measures. We're committed to doing everything we reasonably can to keep your information safe.

If there's ever a security issue, we may contact you through email or our website to let you know what happened and what steps we're taking. By using our services, you agree to receive these types of important updates electronically.

Service Providers

We may employ third party companies and individuals to facilitate our Service ("Service Providers"), provide the Service on our behalf, perform Service-related services or assist us in analyzing how our Service is used.

These third parties have access to your Personal Data only to perform these tasks on our behalf and are obligated not to disclose or use it for any other purpose.

Google API Services

Hello Everyday’s use and transfer to any other app of information received from Google APIs will adhere to Google API Services User Data Policy, including the Limited Use requirements.

Payments

We may provide paid products and/or services within the System. In that case, we use third-party services for payment processing (e.g. payment processors).

We will not store or collect your payment card details. That information is provided directly to our third-party payment processors whose use of your personal information is governed by their Privacy Policy. These payment processors adhere to the standards set by PCI-DSS as managed by the PCI Security Standards Council, which is a joint effort of brands like Visa, MasterCard, American Express and Discover. PCI-DSS requirements help ensure the secure handling of payment information.

Our Service may contain links to other sites that are not operated by us. If you click a third party link, you will be directed to that third party's site. We strongly advise you to review the Privacy Policy of every site you visit.

We have no control over and assume no responsibility for the content, privacy policies or practices of any third party sites or services.

Service Risk and Disclaimer

The use of the Services requires your own mobile and internet connection. Any data or service charges from your mobile provider are your responsibility. Hello Everyday cannot be responsible for problems caused by things outside our control —like service interruptions caused by other companies.

We may update, change or pause our services when needed without notice and without any liability to the User or any third party. We do this to keep improving and adjusting our products and services.
Except as expressly provided in laws and regulations, we will do our upmost to ensure that the System are safe, effective, accurate and reliable; however, subject to the existing technology, Hello Everyday, Inc. cannot guarantee it.
You’re responsible for issues that happen because of how you use the System —including lost data, financial losses, or misunderstandings—unless the reasons are clearly attributable to Hello Everyday. Hello Everyday is not liable for actions caused by others through misuse of the System.

Children's Privacy

Our Service does not address anyone under the age of 18 ("Children").

We do not knowingly collect personally identifiable information from anyone under the age of 18. If you are a parent or guardian and you are aware that your Child has provided us with Personal Data, please contact us. If we become aware that we have collected Personal Data from children without verification of parental consent, we take steps to remove that information from our servers.

Changes

We reserve the right, at our sole discretion, to modify or replace the Agreement and Privacy Policy at any time. If a revision is material we will try to provide at least 30 days notice prior to any material changes taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our System after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new changes, please stop using the System.
